These Terms and Conditions (“Terms”) govern your access to and use of vsocincubator.com (the “Site”) and any programs, services, content, or products offered through the Site, including the VSOC Incubator program (collectively, the “Services”), provided by CyberX Elite LLC dba Cythority (“Cythority,” “we,” “us,” or “our”).

By accessing the Site, submitting a form, booking a call, messaging us, or purchasing any Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or Services.

1. Who We Are

Cythority is a cybersecurity managed security service provider (“MSSP”) that also operates the VSOC Incubator, a paid career-acceleration program in which participants train and perform supervised roles within a live Virtual Security Operations Center (“VSOC”) environment.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services.

If you enroll in the Services on behalf of an employer, company, or other organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Program Enrollment, Fees, and Payment

Program fees, payment plans, program duration, and other enrollment terms are stated in your enrollment agreement, checkout page, or invoice at the time of purchase. If there is a conflict between these Terms and your signed enrollment agreement, the enrollment agreement will control with respect to the conflicting terms.

  • All fees are quoted in U.S. dollars.

  • Fees are due according to the payment schedule accepted at enrollment.

  • If you enroll under a payment plan, you authorize Cythority and its payment processors to charge your selected payment method according to the agreed schedule until the balance is paid in full.

  • Failed, reversed, or charged-back payments may result in suspension or termination of access to the Services.

  • You remain responsible for any outstanding balance, including applicable collection costs or payment-processing fees to the extent permitted by law.

  • Unless expressly stated otherwise in writing, program fees are non-refundable.

Any refund, cancellation, or guarantee terms applicable to your enrollment will be governed by your signed enrollment agreement.

4. Guarantees

Any guarantee referenced on the Site, including any employment- or placement-related guarantee, applies only to the extent expressly stated in your signed enrollment agreement.

You must satisfy all conditions and requirements stated in that agreement. These conditions may include, without limitation:

  • Attending required sessions;

  • Completing coursework and required lab hours;

  • Timely submitting required assignments and deliverables;

  • Participating in interviews and job applications;

  • Maintaining good standing with respect to payments; and

  • Satisfying any other eligibility requirements stated in the enrollment agreement.

Any statements made on marketing pages are summaries only. Your signed enrollment agreement controls the specific terms of any guarantee.

5. License and Acceptable Use

Subject to your compliance with these Terms, Cythority grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access the Site and program materials solely for your individual educational purposes.

You may not:

  1. Copy, reproduce, resell, sublicense, publish, distribute, or share program materials, recordings, login credentials, or community access with any third party;

  2. Use the Services or program materials to create, operate, build, or promote a competing training program or MSSP offering;

  3. Access, test, scan, exploit, or attack any system, network, tool, or data except where you have been expressly authorized to do so as part of a supervised program exercise;

  4. Use any tool, technique, credential, or information learned through the Services in an unlawful, malicious, or unauthorized manner;

  5. Upload malware or malicious code, exfiltrate data, misrepresent your identity, or interfere with the Site, Services, or VSOC environment; or

  6. Harass, discriminate against, threaten, or abuse Cythority staff, instructors, clients, contractors, or other participants.

Any violation of this section may result in immediate suspension or termination of your access without a refund and, where appropriate, referral to law enforcement or other authorities.

6. Live VSOC Environment and Client Confidentiality

Participants may receive supervised access to live security tools, systems, alerts, and information relating to Cythority clients.

All such information is confidential and must be treated accordingly.

You agree to:

  • Follow all Cythority security policies, procedures, playbooks, and access controls;

  • Access only the systems, information, and data specifically authorized for your role;

  • Perform only tasks assigned or authorized by Cythority;

  • Never copy, screenshot, download, export, publish, disclose, or share client data, alerts, indicators, credentials, system information, or other confidential information outside the program;

  • Never discuss confidential client or security information with unauthorized persons; and

  • Immediately report any suspected security incident, exposure, unauthorized access, or accidental disclosure to Cythority.

Your confidentiality obligations under this section survive termination of your participation in the Services indefinitely.

Cythority may require you to sign a separate Non-Disclosure Agreement (“NDA”), acceptable-use agreement, or other security agreement before granting access to certain systems or information.

Cythority may revoke or modify your access to any system or environment at any time in its discretion.

7. Intellectual Property

The Site and all content made available through the Services—including, without limitation:

  • Curriculum;

  • Playbooks;

  • Templates;

  • Recordings;

  • Training materials;

  • Labs;

  • Documentation;

  • Software and technology;

  • Graphics and designs;

  • Brand names;

  • Logos;

  • The “VSOC Incubator” name; and

  • The “Cythority” name and marks

are owned by Cythority or its licensors and are protected by applicable intellectual property laws.

Except for the limited license expressly granted under Section 5, no ownership rights or other intellectual property rights are transferred to you.

User-Submitted Content

If you submit testimonials, reviews, posts, images, videos, feedback, or other content to Cythority or within community spaces (“User Content”), you grant Cythority a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, edit, modify, display, publish, and distribute that User Content for marketing, promotional, and educational purposes.

This license may include your first name, likeness, statements, testimonials, and stated results.

You may withdraw consent for future marketing use by providing written notice to Cythority.

Such withdrawal will not require Cythority to remove materials that were already published or distributed before receiving your withdrawal request.

8. Scheduling, Communications, and Consent

By providing your telephone number or email address, submitting an inquiry, booking a call, enrolling in the Services, or messaging Cythority through social media or other communication platforms, you consent to receive communications relating to your inquiry, booking, enrollment, and participation in the Services.

Communications may include:

  • Telephone calls;

  • Voice messages or voice notes;

  • SMS/MMS messages;

  • Email;

  • Direct messages; and

  • Other communications reasonably related to the Services.

Message and data rates may apply. Message frequency varies.

For text messages, you may reply STOP to opt out and HELP for assistance. Marketing emails will include an unsubscribe mechanism where required by applicable law.

Consent to receive marketing communications is not a condition of purchasing any Service.

Recording

Calls, coaching sessions, training sessions, and other program sessions may be recorded for quality assurance, training, educational, operational, or marketing purposes.

If you do not consent to being recorded, please notify Cythority before the applicable session.

9. Third-Party Services and Links

The Site and Services may contain links to or integrate with third-party services, including payment processors, scheduling platforms, messaging services, learning-management systems, community platforms, and cybersecurity vendors.

Cythority does not control and is not responsible for the availability, security, content, policies, or practices of third-party services.

Your use of third-party services is subject to the applicable third party’s terms, policies, and agreements.

10. No Professional Advice

Content provided through the Site or Services is intended for general educational and informational purposes only.

Nothing provided through the Site or Services constitutes individualized:

  • Legal advice;

  • Financial advice;

  • Investment advice;

  • Tax advice;

  • Career or employment advice;

  • Employment placement services; or

  • Professional cybersecurity advice for your specific circumstances.

You are responsible for determining whether and how information provided through the Services applies to your individual situation.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

This includes, without limitation, warranties of:

  • Merchantability;

  • Fitness for a particular purpose;

  • Title;

  • Non-infringement; and

  • Accuracy, availability, or reliability.

Cythority does not warrant that:

  • The Site or Services will be uninterrupted or error-free;

  • The Site or Services will always be available;

  • The Site or Services will be secure or free from vulnerabilities;

  • Any particular training or career outcome will be achieved;

  • You will receive a certification, interview, job offer, employment opportunity, or promotion; or

  • You will earn any particular amount of income as a result of participating in the Services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYTHORITY AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

This includes, without limitation, damages arising from or related to:

  • Lost profits;

  • Lost wages;

  • Lost data;

  • Lost business opportunities;

  • Business interruption; or

  • Other consequential losses.

This limitation applies to claims arising from or related to your access to or use of the Site or Services, even if Cythority has been advised of the possibility of such damages.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYTHORITY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO CYTHORITY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain limitations of liability. Therefore, some portions of this section may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cythority and its owners, employees, contractors, affiliates, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  1. Your use of the Site or Services;

  2. Your breach of these Terms;

  3. Your unauthorized access to or use of any system, network, tool, or data;

  4. Your violation of any applicable law or regulation; or

  5. Your violation of any third-party right.

14. Termination

Cythority may suspend or terminate your access to the Site, community, program, or any portion of the Services at any time if:

  • You breach these Terms;

  • You fail to make required payments;

  • You engage in unauthorized or unlawful activity;

  • Your conduct creates a security, legal, or operational risk; or

  • Your conduct creates a risk to Cythority’s clients, staff, contractors, instructors, or other participants.

Termination may occur immediately where circumstances reasonably require it.

Termination does not relieve you of any payment obligations that accrued before termination.

Sections that by their nature should survive termination—including Sections 6, 7, 11, 12, 13, 15, and 17—will survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

Before initiating formal proceedings, the parties agree to first attempt to resolve any dispute informally by contacting: [email protected]

If the dispute cannot be resolved within thirty (30) days after written notice of the dispute, the dispute will be resolved through binding arbitration on an individual basis in New York, New York, in accordance with the applicable rules of the American Arbitration Association (“AAA”).

Notwithstanding the foregoing, either party may bring an individual claim in an appropriate small claims court where permitted by law.

To the maximum extent permitted by law, you and Cythority waive any right to:

  • A trial by jury; and

  • Participate in or bring a class action, class arbitration, collective action, or representative action against the other party.

16. Changes to These Terms

Cythority may modify or update these Terms from time to time.

The “Last Updated” date at the top of this page identifies the current version.

If we make changes, we may post the revised Terms on the Site. Your continued use of the Site or Services after updated Terms are posted constitutes your acceptance of the revised Terms, to the extent permitted by applicable law.

17. Miscellaneous

If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. These Terms, together with your enrollment agreement and our Privacy Policy and Disclaimers, are the entire agreement between you and Cythority regarding the Services.
